GoTap Terms and Conditions

1. Introduction

Welcome to GoTap. These Terms and Conditions ("Terms") constitute a legally binding agreement between TapprX Limited (trading as "GoTap", "We", "Us", or "Our"), a company duly registered under the laws of the Federal Republic of Nigeria, and You ("User", "Merchant", or "Customer").

GoTap operates as a technology partner to licensed commercial and microfinance banks that provide a platform for contactless payments, digital wallets, and merchant acquiring services. We partner with licensed Commercial Banks and Microfinance Banks ("Partner Banks") to hold customer funds and facilitate settlement.

By downloading, installing, accessing, or using the GoTap mobile application, website, or SoftPOS services, you agree to be bound by these Terms. If you do not agree, do not use our Services.

2. Definitions

  • "App" means the GoTap mobile application and related software.
  • "Account" means your unique profile on the GoTap platform.
  • "Wallet" means the digital stored-value account assigned to you, held by our Partner Bank.
  • "Merchant" means a User who has activated the "Business Profile" to accept payments for goods and services.
  • "SoftPOS" means technology allowing a Merchant's device to accept contactless card payments. .
  • "Partner Bank"means the licensed financial institution(s) responsible for holding deposits and effecting settlement.

3. Eligibility

To use GoTap, you must:

  1. Be at least 18 years old.
  2. Reside in Nigeria.
  3. Possess a valid Bank Verification Number (BVN) and/or National Identification Number (NIN).
  4. Not be a person barred from receiving services under the laws of Nigeria or other applicable jurisdiction.

4. Account Registration and KYC

4.1 Verification

To comply with Central Bank of Nigeria (CBN) regulations on Know Your Customer (KYC) and Anti-Money Laundering (AML), you must provide accurate personal information, including your BVN and a valid government-issued ID.

4.2 Tiered Access

Your transaction limits (daily transfer limits and maximum balance) are determined by your KYC level (Tier 1, 2, or 3) as mandated by the CBN. GoTap reserves the right to downgrade or restrict accounts that do not meet verification requirements.

4.3 Account Security

You are solely responsible for maintaining the confidentiality of your Login PIN, Transaction PIN, and Password.

  • You agree to notify us immediately of any unauthorised use of your account.
  • GoTap is not liable for any loss resulting from someone else using your account with your PIN or biometric authentication, either with or without your knowledge.

5. Services for Users (Personal Accounts)

5.1 The GoTap Wallet

Your Wallet allows you to store funds, send money, and pay merchants. Important: GoTap is not a bank. Funds in your wallet are held in a pooled nominee account by our Partner Bank, insured by the NDIC.

5.2 Funding and Transfers

  • Funding: You may fund your wallet via bank transfer or a linked debit card.
  • Transfers: You may transfer funds to other GoTap users or external Nigerian bank accounts. We are not responsible for delays caused by the Nigeria Inter-Bank Settlement System (NIBSS) or the receiving bank.

5.3 Prompt Banking

Our "Prompt Banking" feature allows you to execute transactions via text or voice commands. By using this feature, you acknowledge that the AI interpretation of your command is final once confirmed by you via PIN/Biometric authentication.

6. Services for Merchants (Business Accounts)

6.1 SoftPOS & Payment Acceptance

Merchants may use the GoTap App to accept payments via NFC (Contactless) and QR Code.

  • You agree to only use GoTap for legitimate commercial transactions.
  • You must provide a receipt (digital or physical) to the customer for every transaction.

6.2 Merchant Fees (MDR)

We charge a Merchant Discount Rate (MDR) on successful sales transactions. The current rate is 0.5% (capped at N50), subject to change. Fees are deducted automatically at the source before settlement.

6.3 Settlement

Settlement of funds to your external bank account follows a T+1 (next business day) schedule unless "Instant Settlement" is enabled and supported by our Partner Bank. GoTap reserves the right to hold settlement in cases of suspected fraud or excessive chargebacks.

6.4 Geo-Location & Compliance

In compliance with CBN Guidelines on Contactless Payments:

  • You must grant GoTap access to your device's location during transactions.
  • Transactions may be blocked if your device is detected outside your registered business location (Geofencing).
  • You are prohibited from using the SoftPOS feature for cash-out/agent banking services without explicit written authorisation from GoTap.

6.5. Chargebacks and Disputes

You are liable for all chargebacks, refunds, and fines related to transactions processed on your account. If a customer successfully disputes a payment, GoTap will deduct the amount plus an administrative fee from your Wallet or future settlements.

7. Prohibited Activities

You agree not to use GoTap for:

  • Illegal gambling, sports betting, or lottery.
  • Cryptocurrency trading (unless explicitly enabled by future regulation).
  • Money laundering, terrorist financing, or fraud.
  • Buying or selling illegal drugs, weapons, or counterfeit goods .
  • Transactions that violate CBN regulations.

Penalty: We reserve the right to freeze your funds, suspend your account, and report you to the Nigerian Financial Intelligence Unit (NFIU) and law enforcement if you violate these prohibitions.

8. Intellectual Property

All content, trademarks, logos (including "GoTap", "TapprX"), and software associated with the Services are the exclusive property of TapprX Limited. You are granted a limited, non-exclusive, revocable license to use the App for its intended purpose.

9. Disclaimers and Limitation of Liability

9.1. "As Is" Service

The Services are provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee that the App will always be safe, secure, or error-free, or that it will function without disruptions.

9.2. Third-Party Failures

GoTap is not liable for transaction failures, delays, or errors caused by:

  • NIBSS or switching network downtime.
  • Telecommunication network failures (MTN, Glo, Airtel, etc.).
  • Partner Bank system outages.
  • Malfunction of your mobile device or NFC hardware.

9.3. Liability Cap

To the maximum extent permitted by Nigerian law, TapprX Limited's total liability to you for any claim arising out of these Terms or use of the Services shall not exceed the total fees paid by you to GoTap in the three (3) months preceding the event giving rise to the claim.

10. Indemnification

You agree to indemnify and hold TapprX Limited, its directors, employees, partners, and agents harmless from any claims, losses, liability, damages, and expenses (including legal fees) arising out of:

  • Your use of the Services.
  • Your breach of these Terms.
  • Your violation of any law or the rights of a third party.

11. Privacy

Your use of GoTap is subject to our Privacy Policy, which explains how we collect, use, and share your data. By using the App, you consent to the terms of the Privacy Policy.

12. Termination

We may terminate or suspend your access to GoTap at any time, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease. Any funds remaining in your wallet (minus any owed fees/fines) will be transferred to your linked bank account.

13. Dispute Resolution

13.1. Negotiation

In the event of a dispute, you agree to first contact us at hello@usegotap.com to attempt to resolve the matter informally within 30 days.

13.2. Arbitration

If informal resolution fails, the dispute shall be referred to and finally resolved by arbitration in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act. The language of arbitration shall be English.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of significant changes via the App or email. Your continued use of GoTap after such changes constitutes your acceptance of the new Terms.
